The Landings, Woodfield: approval of every transfer and a substitute-purchaser clause
The Landings is 47 homes in Woodfield Country Club, built from 1997 to 2000. Since 2018 no owner may sell or lease without the association's written approval, decided within 30 days after an interview. If it disapproves a buyer, the owner may demand that it furnish a purchaser, and since 2022 the master gives final approval after it. Since 2000 a buyer pays a capital contribution of two months' assessments. A home may be leased after a year of ownership, for six months or more, once in 12 months.

How The Landings compares: HOA fees at closing, association by association
The Landings is a Neighborhood of 47 single-family homes in Woodfield Country Club, on NW 38th Court and NW 65th Drive, built from 1997 to 2000. Legal descriptions read "The Landings at Woodfield Country Club", Plat Book 77, Page 64, and a lot number (OR 30124/570). Woodfield Partners Ltd., L.P. recorded the declaration on 6 May 1996 (OR 9247/34), subject to the master declaration at OR 5037/1571 (p. 1). A 2018 certificate of amendment added approval of sales and leases (OR 30005/1578). This page rests on those instruments.
Does The Landings approve buyers?
Yes, since 2018: "No Owner may transfer any interest in a Lot by sale, lease, transfer, conveyance, gift or any other manner without the prior written consent of the Association through its Board of Directors. Approval shall not be unreasonably withheld" (Art. IX § 17, OR 30005/1578, p. 4). The association has 30 days and may interview the applicant; the fee is "no less than $100.00". The amendment lists seven grounds for disapproval (p. 6).
A substitute purchaser, not a right of first refusal. The owner's notice of a sale "may include a demand by the Owner that the Association furnish a purchaser of the Lot if the proposed purchaser is not approved" (p. 5). The association gets no option to buy; the clause protects the seller if a buyer is turned down. Our working rule: we obtain the association's written approval before closing; if a buyer is turned down and the seller demands a furnished purchaser, that file goes to underwriter and counsel sign off before anything is scheduled.
Then the master. Since 22 March 2022 the master declaration has required that every sale, transfer or conveyance of a Woodfield lot, including a gift, devise or inheritance, be approved by the Neighborhood association within 30 days and then sent to the master for final approval (Art. X § 19, OR 33401/264, pp. 29–30). That binds every Neighborhood whatever its own documents say; The Landings' own approval, grounds and substitute-purchaser demand apply alongside it. The master's rule also needs its Certificate of Compliance, with the buyer's Club membership.
What does a buyer in The Landings pay at closing?
A capital contribution of two months' assessments. Since 2000 the declaration reads: "Upon the resale of any lot in The Landings community, the purchaser shall make a capital contribution to the Association in an amount equal to two (2) months of the annual assessment for each lot", paid "at the time of the transfer of title to the lot" (Art. VIII § 10, OR 11835/137). It is secured by the lien, and a transfer to a trust of the same owner or to family is exempt. The 1996 text had collected the same two months as working capital from each lot purchaser (OR 9247/34, p. 17). The buyer also owes the master's working capital contribution, and we take both figures from the estoppels.
Can a home in The Landings be leased?
Yes, with approval, under the same 2018 section: "Lots may not be leased until the Owner has held title for a minimum of one (1) year. ... A Lot shall not be leased for a term of less than six (6) months and not more than once during any twelve (12) month period" (Art. IX § 17, OR 30005/1578, p. 4).
These rules were recorded in 2018, before the 1 July 2021 cutoff in Fla. Stat. § 720.306(1)(h), so they bind every owner. The master's leasing rules apply on top.
How do the lien and amendments work?
The lien for assessments takes effect when a claim of lien is recorded (Art. VIII § 12, OR 9247/34, pp. 17–18). Since 2018, only a first mortgagee that takes title is excused from earlier assessments, and its liability is limited to the lesser of 12 months' assessments or 1%, by reference to Fla. Stat. § 720.3085. Any other buyer at a foreclosure "shall be liable to pay any and all unpaid assessments that came due prior to acquiring title" (Art. VIII § 13, OR 30005/1578, p. 3). Since 2000 the declaration is amended by a majority of the members' votes cast at a duly held meeting, on 45 days' notice, with the consent of the master's Board; the 1996 text had required two-thirds (Art. X § 2, OR 11835/137; OR 9247/34, p. 23).
Where does a title in The Landings need care?
- Parcel G. The developer withdrew Parcel G from the declaration in 1998 (OR 11061/1261, p. 5), and the Coventry withdrawal of the same year released the Coventry land replatted as The Landings (OR 11061/1266). Neither changed any rule.
- The 2018 title notice. A notice under the Marketable Record Title Act preserves the covenants over the plat "Less: PARCEL G" (OR 29673/1243). Its Exhibit B lists the plat, the declaration and four amendments (OR 11061/1261, 11061/1266, 11835/137 and 16265/1637); none requires approval of a sale.
- Common areas. Parcels A to D were quit-claimed to the association (OR 12064/479), and Parcels E, F and H to the master (OR 12064/455, p. 3).
- The old right of first refusal. The Landings is in the land the master's Third Supplemental Declaration added in 1994 (OR 8145/1577), which gave the developer a right of first refusal on a lot without a house. The 2010 restated master declaration struck it (OR 23721/1800, pp. 39–40), so it no longer applies.
Our practice
How Bayit Title handles this
We send the buyer's application to the association as soon as the contract is signed, so its 30 days and interview fit the closing date. We tell an investor buyer that the home cannot be leased in the first year. We order The Landings' and the master's estoppels and the Club's statement together.
