Bay Creek, Woodfield Country Club: no leasing rule of its own and a two-quarter resale contribution

Bay Creek is 33 homes on NW 39th Terrace in Woodfield Country Club, Boca Raton. Its 1994 declaration sets no approval of buyers and no leasing rule of its own, but since 22 March 2022 the master declaration requires Bay Creek, then the master, to approve every sale. Since 2022 each buyer pays Bay Creek a capital contribution of two quarterly assessments, unless the Board sets another amount. The master's leasing rules also apply.

How Bay Creek compares: HOA fees at closing, association by association

Bay Creek is a Neighborhood of Woodfield Country Club in Boca Raton. Its 33 single-family homes, built from 1994 to 1997, are all on NW 39th Terrace, on the plat of Bay Creek at Woodfield Country Club (PB 72/193–194). Woodfield Partners Ltd., L.P. recorded the declaration on 29 July 1994 (OR 8366/1170), subject to the master declaration at OR 5037/1571 (p. 1). The association's 2024 preservation notice lists it and four amendments (OR 35092/190). This page rests on those instruments.

Does Bay Creek approve buyers?

Yes, and then the master does. Bay Creek's own documents set no sale approval, leasing restriction or right of first refusal, in the declaration's use restrictions (Art. XI, OR 8366/1170, pp. 24–26) or in any amendment. Since 22 March 2022 the master declaration has required that every sale, transfer or conveyance of a Woodfield lot, including a gift, devise or inheritance, be approved by the Neighborhood association within 30 days and then sent to the master for final approval, with a fee of at least $100 (Art. X § 19, OR 33401/264, pp. 29–30). That binds Bay Creek whatever its own documents say. The master's approval and Certificate of Compliance and Club membership are required as well.

What does a Bay Creek buyer pay at closing?

Since October 2022: "Upon each resale of a Lot, the new purchaser shall contribute and be charged a capital contribution to the Association in an amount equal to two times the quarterly assessment for the purchased lot as of the date of the recording of the deed or an amount as otherwise determined in the discretion of the Board" (Art. X § 10, OR 33869/805, p. 6). It is secured by the association's lien. A transfer "to a Trust the Trustee of which is the existing Owner or a member of the existing Owner's immediate family" is not a resale.

The contribution has grown in steps: $1,000 from 2004 (OR 17169/343, p. 2), then one quarterly assessment from 2007 (OR 21788/642, p. 2). The 1994 text collected two months' assessments as working capital from each lot purchaser (OR 8366/1170, p. 22). Because the Board may set another amount, we take the figure from the estoppel. The buyer also owes the master's resale working capital contribution.

Can a Bay Creek home be leased?

Bay Creek's own instruments say nothing about leasing. The master's leasing rules apply to every Bay Creek home.

How do the lien and amendments work?

The lien for assessments takes effect when a claim of lien is recorded (Art. X § 12, OR 8366/1170), and § 13 subordinates it to an institutional mortgage. The declaration is amended with the master's consent and the vote of "two-thirds (2/3) of the members" (Art. XII § 2, pp. 27–28). Since 2000 owners, not the association, paint, pressure-clean and seal their homes (OR 12076/1299).

Where does a Bay Creek title need care?

  • Lot 1. Its legal description adds "& NLY .78 FT OF WLY 28.56FT OF PAR B" (Property Appraiser). On a Lot 1 sale we check that the deed carries it.
  • The road. NW 39th Terrace, Parcel A, is private; Woodfield Partners quit-claimed its interests under the plat dedication to the association in 2000 (OR 12064/476).

Our practice

How Bayit Title handles this

We ask Bay Creek for its sale application early, since its approval and then the master's are needed before closing. We take the capital contribution from Bay Creek's estoppel, since the Board may set its own amount, and confirm whether a trust transfer is exempt. We order Bay Creek's and the master's estoppels and the Club's statement together.
